General Terms & Auction Conditions
EventBird is a brand of Hybrid-Airplane Technologies GmbH. These terms apply to all bids and contracts for booking advertising space via eventbird.io.

§ 1 Scope and contracting parties
(1) These General Terms and Conditions (“Terms”) apply to all bids and contracts for booking advertising space on the lighter-than-air flight system (LTA-UAV) of Hybrid-Airplane Technologies GmbH (“Provider”) via the eventbird.io platform.
(2) The offer is directed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) acting in the exercise of their commercial or independent professional activity. Contracts with consumers (§ 13 BGB) are excluded. By placing a bid, the bidder confirms that they are an entrepreneur.
§ 2 Formation of contract (auction)
(1) The advertising spaces are awarded by online auction. Four equally sized advertising spaces (quadrants) are available per event.
(2) By placing a bid, the bidder makes a binding offer. The bid must reach the stated minimum amount or the next valid bid (current highest bid plus the minimum increment).
(3) The contract is formed upon award. The award is made automatically at the end of the auction to the highest valid bid on the respective space. Upon award, the authorised amount is captured.
(4) The Provider reserves the right to reject bids from bidders whose payment method could not be authorised or whose details are incomplete or incorrect.
§ 3 Card authorisation and payment
(1) To participate, the bidder provides a valid means of payment. With each bid, the bid amount is held (authorised) on the bidder’s card via the payment service provider Stripe, without an immediate charge.
(2) If the bidder is outbid, the hold is released.
(3) All bids and stated amounts are net, plus statutory VAT. For customers with their tax residence in Germany, German VAT (currently 19%) is added and, together with the net amount, held or captured as the gross amount on the card. For companies established in another EU member state, the reverse-charge procedure (§ 13b UStG) applies; in that case the net amount is charged and the tax liability passes to the recipient. Before submitting a bid, the bidder sees a breakdown into net, VAT and gross.
(4) If a card hold expires for technical reasons before the end of the auction, the Provider is entitled to place a new hold on the stored means of payment. If this fails and the bidder does not reconfirm upon request, the bid may lapse.
§ 4 Provider’s service
(1) The Provider displays the logo/advertising motif provided by the customer on the booked advertising space on the flight system during the respective event. The advertising space is visible for at least five hours per event day. Specific flight times and windows depend on the course of the respective event and are determined by the Provider.
(2) The customer is responsible for the lawfulness of the advertising material provided (copyright, trademark, competition law). The Provider may reject advertising material that is unlawful, immoral, anti-competitive, or damages the reputation of the Provider or the event. In particular, content that violates applicable law, as well as extremist, discriminatory, violence-glorifying, pornographic or immoral/anti-competitive advertising, is not permitted. As the offer is directed exclusively at entrepreneurs, it is assumed that the customer acts lawfully and advertises only for legal products and services; the customer warrants this. The Provider does not carry out a prior content check of each motif.
(3) The auction for an event ends four weeks before the event begins. The award is made at that point. This deadline serves preparation, in particular the production of the advertising materials (printing of logos). The customer provides the final advertising material in the required quality in good time, and no later than upon award.
§ 5 Cancellation, force majeure
(1) The flights at the events currently offered take place indoors. Weather-related cancellations are therefore not expected.
(2) If an event or the advertising deployment cannot take place for reasons beyond the Provider’s control (in particular force majeure, official orders, cancellation of the event by the organiser), the amount paid for the affected space is fully refunded.
(3) Should outdoor events be offered in future, the same applies to weather-related cancellations: full refund of the amount paid for the affected space. Further claims are excluded in these cases to the extent permitted by law.
§ 6 Liability
(1) The Provider is liable without limitation for intent and gross negligence, as well as for damage arising from injury to life, body or health.
(2) In case of simple negligence, the Provider is liable only for breach of a material contractual obligation (cardinal obligation), and limited in amount to the foreseeable damage typical for the contract. Liability is limited in amount to the value of the respective order (the amount of the winning bid).
(3) Otherwise, liability is excluded.
§ 7 Final provisions
(1) The law of the Federal Republic of Germany applies.
(2) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is – to the extent legally permissible – the Provider’s registered office, Baden-Baden.
(3) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
